Terms of Service

Welcome to Parfina ("Company," "we," "our," or "us"). These Terms of Service ("Terms") govern your use of our website, services, and products, including our AI Lead Response and Automated Follow-up system ("Services").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, you must not use our Services.

1. Services Overview

Parfina provides an AI-powered lead response and follow-up system designed to help roofing businesses respond to inbound leads faster, recover missed calls, and follow up consistently. Our Services consist of two functions:

  • AI Lead Response — Automated phone outreach to new inbound leads within approximately 60 seconds of submission, plus automatic text replies to missed inbound calls.

  • Automated Follow-ups — A sequence of automated text follow-ups sent to answered and unanswered leads.

The Services operate on the Client's existing lead flow. Parfina does not provide paid advertising, ad spend management, funnel or landing page builds, or CRM software as part of the Services.

We do not guarantee specific results, revenue, lead volume, appointment volume, or job volume.

2. Eligibility

By using our Services, you represent that:

  • You are at least 18 years old

  • You have the authority to enter into a binding agreement

  • You are operating a legitimate business

  • You will comply with all applicable laws and regulations

3. Client Responsibilities

Clients agree to:

  • Provide accurate and up-to-date business information, including service area, business hours, contact information, service offerings, and any other information reasonably needed to configure the Services

  • Honor leads, appointments, and conversations generated through the Services

  • Maintain necessary licenses, insurance, and regulatory compliance for their own business

  • Use the Services in a lawful manner and in compliance with all applicable laws and regulations

  • Maintain a valid payment method on file and ensure timely payment of all fees

  • Respond promptly to communications from Parfina reasonably necessary to operate or maintain the Services

Failure to meet these responsibilities may negatively impact results, and Parfina is not liable for outcomes resulting from a Client's failure to meet them.

4. Billing and Cancellation

4.1 Plans and Fees

Parfina offers two plans:

  • Monthly Plan — Two thousand eight hundred ninety-nine dollars ($2,899) per month, billed monthly in advance.

  • Annual Plan — Twenty-eight thousand nine hundred ninety dollars ($28,990) per year, billed annually in advance.

All fees are due in advance. Services will not begin until payment has been received and processed. Parfina does not charge setup or onboarding fees.

4.2 Monthly Plan Cancellation

The Monthly Plan may be canceled at any time. Cancellation takes effect at the end of the Client's current paid billing cycle, and the Client will continue to have access to the Services through that date. No refund or proration is issued for the current billing cycle, and no further charges will be made after the cycle ends.

To cancel, the Client must cancel subscription within the Client's Stripe Portal.

4.3 Annual Plan

The Annual Plan is paid in full at the start of the annual term and is non-refundable if canceled mid-term. A Client who cancels an Annual Plan mid-term will continue to have access to the Services through the end of the paid annual term, but no refund of any portion of the annual fee will be issued.

4.4 No Chargebacks

The Client agrees to address any billing concern directly with Parfina before initiating a chargeback, dispute, or reversal with their bank or card processor. Initiating a chargeback in lieu of contacting Parfina constitutes a breach of these Terms, and the Client will be responsible for any fees, legal costs, or damages incurred by Parfina as a result.

4.5 Late or Failed Payments

If a payment fails or is not made when due, Parfina may suspend the Services until payment is received. Repeated or prolonged non-payment may result in termination of the Services under Section 11.

5. Data Ownership and Intellectual Property

5.1 Client-Owned Data

The Client owns all lead and customer data generated through or processed by the Services on the Client's behalf. This includes:

  • Lead names, phone numbers, addresses, and other contact information

  • Transcripts and recordings of conversations between leads and the Services

  • Appointment and booking records associated with the Client's account

  • Any other customer-identifying or customer-supplied data

Upon request and within a reasonable time, Parfina will provide the Client with an export of the Client's data in a commercially reasonable format.

5.2 Parfina-Owned System and Materials

Parfina owns and retains all rights to everything Parfina builds, authors, configures, or develops in connection with the Services, including but not limited to:

  • System architecture, integrations, and configurations

  • AI prompts, scripts, conversation logic, and qualification flows

  • Automation workflows and follow-up sequences

  • Documentation, templates, and written materials authored by Parfina

  • Any improvements, enhancements, or derivative works Parfina creates

During an active service period, the Client is granted a limited, non-transferable, non-exclusive license to use these materials solely as integrated into the Services for the Client's business. This license ends when the service period ends.

5.3 No Transfer on Cancellation

Cancellation or termination of the Services does not transfer any of Parfina's intellectual property to the Client. The Client may retain copies of their own data (Section 6.1) but not Parfina's system, prompts, scripts, workflows, or other authored materials.

6. Disclaimers and Limitation of Liability

6.1 No Guarantee of Results

Parfina does not guarantee specific results, revenue, lead volume, appointment volume, job volume, conversion rates, or any other business outcome. The Services are tools that operate on the Client's existing lead flow; outcomes depend on factors outside Parfina's control, including the quality and quantity of the Client's leads, the Client's own follow-through, and market conditions.

6.2 AI and Automation Disclaimer

The Services include AI-driven tools, including automated phone calls and SMS messaging. The Client acknowledges that:

  • AI systems may not be one hundred percent (100%) accurate

  • Conversations may vary in quality

  • The Client is responsible for reviewing and managing communications when appropriate

6.3 Limitation of Liability

To the fullest extent permitted by law, Parfina shall not be liable for:

  • Lost profits or revenue

  • Business interruption

  • Loss of data

  • Indirect, incidental, consequential, special, or punitive damages

Parfina's total aggregate liability arising out of or related to these Terms or the Services shall not exceed the total fees paid by the Client to Parfina in the three (3) months immediately preceding the event giving rise to the claim.

6.4 Force Majeure

Neither party shall be liable for delays or inability to perform under these Terms due to events beyond their reasonable control, including natural disasters, acts of God, war, terrorism, labor disputes, government actions, pandemics, power outages, or failures of third-party platforms.

7. Compliance and Legal Responsibility

The Client is solely responsible for ensuring compliance with all laws applicable to the Client's business, including:

  • Local, state, and federal laws

  • Advertising regulations

  • Consumer protection laws

  • Telemarketing and communication laws (including TCPA where applicable)

Parfina is not liable for violations resulting from misuse of the Services or from the Client's own business conduct.

8. Indemnification

The Client agrees to indemnify and hold harmless Parfina from any claims, damages, or liabilities arising from:

  • The Client's use of the Services

  • The Client's business operations

  • The Client's failure to comply with applicable laws

9. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive business information shared during the course of the Services.

10. Termination

10.1 By the Client

The Client may cancel the Services as described in Section 4 (Billing and Cancellation).

10.2 By Parfina

Parfina reserves the right to suspend or terminate the Services if:

  • These Terms are violated

  • Payments are not made when due

  • The Services are misused or used unlawfully

Termination by Parfina for cause does not entitle the Client to a refund.

11. Modification of Services and Terms

Parfina reserves the right to modify or discontinue features of the Services, update pricing for future billing cycles, and update these Terms from time to time. Material changes will be communicated to active Clients. Continued use of the Services after a material change constitutes acceptance of the updated Terms. Price changes do not apply to a Client's current paid billing cycle or current paid annual term.

12. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of the State of North Carolina, United States, without regard to its conflict of law principles. All parties waive their right to a jury trial to the fullest extent permitted by law.

13. Dispute Resolution

Any disputes arising under these Terms shall be resolved through:

  1. Good faith negotiation

  2. Mediation (if necessary)

  3. Binding arbitration in Watauga County, North Carolina

14. TCPA / SMS / AI Communication Compliance

14.1 Consent to Receive Communications

By submitting your information through our website, landing pages, or forms, you expressly consent to be contacted by Parfina and its partners, including local service providers, via:

  • Phone calls

  • Text messages (SMS/MMS)

  • Email communications

This may include communications using:

  • Automatic telephone dialing systems (ATDS)

  • Artificial intelligence (AI) systems

  • Pre-recorded or artificial voice messages

14.2 Purpose of Communications

You understand and agree that communications may be used to:

  • Respond to your request for services

  • Schedule appointments or estimates

  • Provide confirmations and reminders

  • Deliver follow-up communications

  • Send marketing and promotional messages

14.3 No Purchase Required

Your consent to receive communications is not a condition of purchase. You are not required to agree to communications in order to use our Services.

14.4 Opt-Out Instructions

You may opt out of communications at any time:

  • SMS: Reply STOP to unsubscribe

  • Email: Click the unsubscribe link

  • Phone: Request removal during any call

After opting out, you may receive a final confirmation message to confirm your request.

14.5 Message Frequency

Message frequency may vary depending on your interaction, service request, and follow-up activity.

14.6 Standard Messaging Rates

Message and data rates may apply according to your mobile carrier's terms and conditions.

14.7 Carrier Disclaimer

Mobile carriers are not liable for delayed or undelivered messages.

14.8 Accuracy of Information

You agree to provide accurate and complete contact information. You represent that:

  • You are the authorized user of the phone number and email provided

  • You have the authority to consent to communications

Providing false, inaccurate, or unauthorized contact information may result in liability.

14.9 Call Recording and Monitoring

You acknowledge and agree that calls may be:

  • Recorded

  • Monitored

  • Stored

for purposes including:

  • Quality assurance

  • Training

  • Compliance

  • Service improvement

14.10 AI and Automated Communication Disclosure

You acknowledge that:

  • Communications may be conducted by AI-powered systems

  • Responses may be automated or partially automated

  • AI systems may assist in qualifying leads, scheduling appointments, and providing information

Parfina does not guarantee that AI communications will always be error-free.

14.11 Compliance with Laws

Parfina operates in good faith to comply with applicable laws, including but not limited to:

  • The Telephone Consumer Protection Act (TCPA)

  • Do Not Call (DNC) regulations

  • Applicable state and federal communication laws

Users are responsible for ensuring they have the legal authority to submit contact information.

14.12 Revocation of Consent

You may revoke your consent at any time using the opt-out methods described above. Upon revocation:

  • You will no longer receive marketing communications

  • You may still receive necessary transactional communications related to ongoing services

14.13 Acceptance of Terms

By submitting your information on the payment page, you acknowledge that you have read, understood, and agreed to this TCPA / SMS / AI Communication Compliance section, and you consent to receive communications as described herein.

15. Referral Program

To qualify for a referral, you must introduce Parfina to the referred business via a 3-way email or Text including yourself, the referred business, and contact@parfina.co. Texts sent to 828-278-8266.

Hey [Roofing Owner],

Wanted to connect you with Phillip from Parfina.

They help roofing companies improve lead response speed and close more jobs from the same lead volume using AI lead response and follow-up systems.

Thought it could be worth a conversation.

Phillip — introducing [Owner Name].

I’ll let you guys take it from here.

Hey man — you should talk to Phillip at Parfina.

They’ve been helping roofing companies respond to leads faster and book more estimates from the same leads they already pay for.

15.1 Referral Payouts

Parfina will pay:

  • $1,000 for each referred business that signs up and completes payment for their first month of service

  • $1,500 for each referred business that commits to and pays for an initial 12-month service term in full

15.2 Eligibility Requirements

  • The referred business must be a new lead and must not have previously:

    • Submitted an application

    • Contacted Parfina

    • Been in prior discussions with Parfina

  • If the referred business has already engaged with Parfina prior to your introduction, the referral will not be eligible for credit

15.3 Payment Requirement

  • Referral payouts are only issued if the referred business:

    • Completes payment for the applicable service period

    • Remains in good standing at the time of payout

15.4 Payout Timing

Referral payments are issued 60 Days after the referred business's payment has been successfully processed.

Parfina reserves the right to determine referral eligibility at its sole discretion.

16. Agreement

The following agreement between Parfina ("the Company") and you ("the Client") is effective immediately upon checking the box indicating agreement to these Terms of Service and clicking "Give Me Access." You, the Client, verify that you find the terms of this agreement acceptable.
